MOTOR FUEL DISTRIBUTORS

Davison & McCarthy represents a large motor fuel distributor with a major presence in the mid-Atlantic region of the United States. In that capacity, we have represented our client in connection with its dealings with motor fuel suppliers/refiners, including, for example, ExxonMobil Corporation, Shell USA, BP p.l.c., and others. We have also represented our client in connection with its dealings with retail dealers of motor fuel. Our attorneys have also represented owners of individual or multiple motor fuel retail stores.

As a result of these activities, Davison & McCarthy has extensive experience with all of the following, among other things: the Petroleum Marketing Practices Act; brand use and other deed restrictions frequently imposed on property used for the sale of motor fuel; the drafting and negotiation of sale and acquisition documents for gas station properties, trademarks and other assets associated with the motor fuel distribution business; the Hart-Scott-Rodino Act as it relates to transactions involving motor fuel distribution - business assets; the preparation and enforcement of documents providing for the supply of product and the granting of trademark rights to retail dealers of motor fuel. Davison & McCarthy is also, as a result of this representation, acquainted with environmental issues associated with the distribution and retail sale of motor fuel, including Pennsylvania's Act 2 and the Pennsylvania Underground Storage Tank Indemnification Fund, the important role of environmental consultants and environmental insurance, and issues associated with the financing of such assets.
